OVERVIEW

Welcome to CalmCap. These Terms of Service (“Terms”) explain the rules for using the CalmCap website, tools, products, services, software features, TikTok integration, content tools, and any related services we provide, including services available through calmcap.us and any connected dashboard or application (collectively, the “Services”).

The terms “CalmCap,” “we,” “us,” and “our” refer to CalmCap. By accessing, browsing, creating an account, connecting a TikTok account, uploading content, publishing content, making a purchase, or otherwise using the Services, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms or our Privacy Policy, you should not access or use the Services.

SECTION 1 - ELIGIBILITY AND ACCOUNT ACCESS

By using the Services, you represent that you are at least the age of majority in your state, province, or country of residence, or that you have permission from a parent or legal guardian to use the Services.

To use certain features, you may be required to create an account, connect a third-party account, or provide information such as your name, email address, billing information, business information, shipping information, or social media account information.

You agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You may not transfer, sell, assign, or license your account to another person without our permission.

SECTION 2 - OUR SERVICES

CalmCap provides ecommerce-related tools, content tools, product promotion tools, and TikTok-related integration features. The Services may allow users to create, manage, upload, publish, or organize product-related content, including videos and promotional materials.

CalmCap may also operate an online store through Shopify or another ecommerce platform. Any products, content, tools, or services offered through CalmCap are subject to availability and may change at any time.

We reserve the right to modify, update, suspend, or discontinue any part of the Services at any time without notice.

SECTION 3 - TIKTOK INTEGRATION

CalmCap may allow users to connect their TikTok account using TikTok Login Kit. By connecting your TikTok account, you authorize CalmCap to access the TikTok account information and permissions you approve during the TikTok authorization process.

CalmCap may use TikTok’s Content Posting API to allow authorized users to upload videos as drafts or publish videos directly to their own TikTok profile when they choose to do so.

CalmCap does not post content to your TikTok account without your authorization and action inside the Services. You remain responsible for reviewing, approving, uploading, drafting, publishing, and managing any content connected to your TikTok account.

You are responsible for ensuring that any content you upload, draft, publish, or manage through CalmCap complies with TikTok’s Terms of Service, Community Guidelines, advertising policies, intellectual property rules, and all applicable laws.

You may disconnect your TikTok account or stop using the TikTok integration at any time.

SECTION 4 - USER CONTENT

You may be able to submit, upload, create, edit, store, publish, or share content through the Services, including product videos, images, captions, product descriptions, marketing materials, account information, and other content (“User Content”).

You retain ownership of your User Content. However, by using the Services, you grant CalmCap a limited license to host, store, process, display, transmit, and use your User Content as necessary to provide the Services.

You represent and warrant that you own or have the necessary rights to use and upload your User Content, and that your User Content does not violate the rights of any third party or any applicable law.

You agree not to upload, create, publish, or share content that is illegal, misleading, harmful, abusive, defamatory, obscene, infringing, fraudulent, or otherwise violates these Terms or the policies of any connected third-party platform, including TikTok.

SECTION 5 - ACCEPTABLE USE

You may use the Services for lawful personal or business purposes related to ecommerce, content creation, product promotion, social media account management, and related activities.

You agree not to use the Services:

a. for any unlawful, harmful, deceptive, or fraudulent purpose;
b. to violate any law, rule, regulation, or third-party right;
c. to infringe any copyright, trademark, privacy, publicity, or intellectual property right;
d. to upload or distribute spam, scams, malware, viruses, or malicious code;
e. to impersonate another person, business, or entity;
f. to misrepresent your relationship with CalmCap, TikTok, Shopify, or any third party;
g. to interfere with or disrupt the security or operation of the Services;
h. to scrape, copy, reverse engineer, or misuse the Services;
i. to bypass access controls, rate limits, or security measures;
j. to upload or publish content that violates TikTok’s rules or any applicable platform policy.

We reserve the right to suspend, restrict, or terminate access to the Services if we believe you have violated these Terms.

SECTION 6 - PRODUCTS, ORDERS, AND PAYMENTS

If CalmCap offers physical or digital products for sale, product descriptions, pricing, availability, and promotions may change at any time without notice.

When you place an order, you are making an offer to purchase. We reserve the right to accept, decline, cancel, or limit any order for any reason, including suspected fraud, pricing errors, product availability, or violation of these Terms.

You agree to provide accurate and complete billing, shipping, and payment information. You authorize us and our payment processors to charge your selected payment method for any purchases you make.

All purchases are subject to our posted refund, return, and shipping policies, if applicable.

SECTION 7 - SHIPPING AND DELIVERY

If physical products are sold through CalmCap, shipping and delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, customs, incorrect addresses, weather, supply chain issues, or events outside our control.

Once products are transferred to a shipping carrier, risk of loss may pass to the customer to the extent permitted by law.

SECTION 8 - THIRD-PARTY SERVICES

The Services may connect to, rely on, or include third-party platforms and services, including TikTok, Shopify, payment processors, hosting providers, analytics tools, shipping providers, and other third-party services.

Your use of third-party services may be governed by their own terms, policies, and privacy practices. CalmCap is not responsible for third-party websites, services, platforms, errors, outages, actions, content, or policies.

Connecting your TikTok account or any other third-party account is optional. You are responsible for reviewing and understanding the permissions you grant to any third-party integration.

SECTION 9 - RELATIONSHIP WITH TIKTOK

CalmCap is not owned by, endorsed by, sponsored by, or affiliated with TikTok unless expressly stated.

TikTok’s name, logos, trademarks, products, services, and platform are owned by TikTok or its affiliates. Your use of TikTok through CalmCap remains subject to TikTok’s own terms, policies, and rules.

SECTION 10 - RELATIONSHIP WITH SHOPIFY

CalmCap may be powered by Shopify, which enables us to operate an online store and provide ecommerce functionality. However, any sales or transactions made through our store are made directly with CalmCap.

By using the Services, you acknowledge that Shopify is not responsible for any aspect of your transactions with CalmCap, including any injury, damage, loss, product issue, refund issue, or dispute related to purchases made from CalmCap.

SECTION 11 - PRIVACY

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, share, and protect information.

Our Privacy Policy includes information about how CalmCap may collect and use information from connected TikTok accounts, including information authorized through TikTok Login Kit and TikTok’s APIs.

By using the Services, you acknowledge that you have read and understood our Privacy Policy.

SECTION 12 - INTELLECTUAL PROPERTY

The Services, including the CalmCap name, logos, branding, website design, text, graphics, images, software, features, tools, content, and other materials, are owned by CalmCap or its licensors and are protected by intellectual property laws.

You may not copy, reproduce, modify, distribute, sell, lease, reverse engineer, or create derivative works based on the Services without our prior written permission.

Nothing in these Terms grants you ownership of any CalmCap intellectual property.

SECTION 13 - FEEDBACK

If you submit ideas, suggestions, comments, reviews, proposals, or other feedback to CalmCap, you grant us the right to use, reproduce, modify, publish, and display that feedback for any lawful purpose without compensation to you.

You represent that any feedback you provide does not violate the rights of any third party.

SECTION 14 - ERRORS AND INACCURACIES

The Services may contain errors, inaccuracies, omissions, or outdated information. We reserve the right to correct errors, update information, cancel orders, change pricing, modify descriptions, or update the Services at any time without prior notice.

We do not guarantee that all information on the Services will always be accurate, complete, current, or error-free.

SECTION 15 - DISCLAIMERS

The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, CalmCap disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and reliability.

We do not guarantee that the Services will be uninterrupted, secure, error-free, or available at all times.

We do not guarantee any specific business result, sales result, social media growth, engagement, views, revenue, account approval, TikTok performance, or ecommerce performance from using the Services.

SECTION 16 - LIMITATION OF LIABILITY

To the fullest extent permitted by law, CalmCap, its owners, employees, contractors, affiliates, partners, service providers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, business opportunities, or account access.

Our total liability for any claim related to the Services will not exceed the amount you paid to CalmCap for the Services giving rise to the claim, or one hundred dollars ($100), whichever is greater.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

SECTION 17 - INDEMNIFICATION

You agree to defend, indemnify, and hold harmless CalmCap, its owners, employees, contractors, affiliates, partners, service providers, and licensors from any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:

a. your use of the Services;
b. your violation of these Terms;
c. your violation of any law or third-party right;
d. your User Content;
e. your use of TikTok or any connected third-party platform;
f. any content you upload, draft, publish, or manage through the Services.

SECTION 18 - TERMINATION

We may suspend, restrict, or terminate your access to the Services at any time if we believe you violated these Terms, created risk for CalmCap or others, misused the Services, or violated any applicable law or third-party platform policy.

You may stop using the Services at any time.

Sections that by their nature should survive termination will continue to apply, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

SECTION 19 - CHANGES TO THE SERVICES OR TERMS

We may update or change these Terms at any time by posting the updated version on our website. The updated Terms will be effective when posted unless otherwise stated.

Your continued use of the Services after changes are posted means you accept the updated Terms.

SECTION 20 - GOVERNING LAW

These Terms and any disputes related to the Services will be governed by the laws of the state or jurisdiction where CalmCap is headquartered, without regard to conflict of law principles.

You agree that any disputes will be handled in the courts located in the jurisdiction where CalmCap is headquartered, unless applicable law requires otherwise.

SECTION 21 - SEVERABILITY

If any part of these Terms is found to be unlawful, void, or unenforceable, that part will be enforced to the maximum extent permitted by law, and the remaining parts will remain in full force and effect.

SECTION 22 - ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any other policies posted on the Services, make up the entire agreement between you and CalmCap regarding your use of the Services.
